Terms of Service

1. Agreement

By accessing or using BiomedDesk ("Service"), you agree to these Terms on behalf of yourself and your organization. If you do not agree, do not use the Service. These Terms constitute a binding agreement between you and B3 Trinitas Media & Ventures, doing business as BiomedDesk ("Company," "we," "us").

2. Service Description

BiomedDesk is a cloud-based Computerized Maintenance Management System (CMMS) designed for biomedical and healthcare technology management (HTM) professionals. Features include equipment inventory, preventive maintenance (PM) scheduling, work orders, Alternative Equipment Management (AEM) programs, parts inventory, service contracts, FDA recall checks, and an AI-assisted troubleshooter. The AI Troubleshooter sends your query text to the Anthropic API for processing; usage limits vary by subscription tier. The Service is designed exclusively for equipment and maintenance data. It is not intended to create, receive, maintain, or transmit Protected Health Information (PHI), and you may not enter PHI into it.

3. Accounts and Access

You must provide accurate registration information and maintain the security of your credentials. You are responsible for all activity under your account. Organizations are responsible for the actions of all users they invite. You may not share login credentials or allow unauthorized access.

4. Subscription and Payment

BiomedDesk is offered in the following tiers. All new accounts begin with a 30-day free trial — full access, no credit card required, and no device limit. After 30 days, the account becomes read-only until a paid plan is selected; your data remains exportable at all times.

Paid plans are billed in advance on a monthly or annual basis via Stripe. All fees are exclusive of applicable taxes. We reserve the right to modify pricing with 30 days' written notice. Failure to pay may result in suspension of access. Annual subscriptions are non-refundable except as required by applicable law.

5. Cancellation

You may cancel your subscription at any time through the billing portal (Settings → Manage billing, powered by Stripe). No notice period, written request, or email is required. Cancellation takes effect at the end of your current billing period, and your access continues until then. We may cancel or suspend your account immediately for violations of these Terms, with or without notice.

6. Acceptable Use

You agree not to: (a) use the Service for any unlawful purpose; (b) upload malware, harmful code, or content that infringes third-party rights; (c) attempt to gain unauthorized access to any portion of the Service; (d) reverse-engineer, decompile, or scrape the Service; (e) enter, upload, or store Protected Health Information (PHI) in any field of the Service. No field of the Service is designed to receive PHI. BiomedDesk is not a covered entity or business associate record system under HIPAA and may not be used to create, receive, maintain, or transmit PHI, in whole or in part, on any subscription tier and regardless of whether a Business Associate Agreement has been executed.

7. Data and Privacy

We collect and process data as described in our Privacy Policy. You retain ownership of all data your organization uploads. We will not sell your data to third parties. We may use anonymized, aggregated usage data to improve the Service. You may export all of your organization's data at any time from Settings → Export My Data, which produces a ZIP archive of CSV files covering every module.

8. Intellectual Property

The Service, including all software, designs, trademarks, and content, is owned by B3 Trinitas Media & Ventures. Nothing in these Terms transfers any intellectual property rights to you beyond the limited license to use the Service as described herein.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

BiomedDesk is a workflow and documentation tool. AI-generated troubleshooting output is a diagnostic aid only and does not constitute medical or engineering advice. You assume full responsibility for all clinical and technical decisions.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

11. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12. Governing Law

These Terms are governed by the laws of the State of Kentucky, without regard to conflict of law principles. Any dispute shall be resolved in the state or federal courts located in Kentucky.

13. Changes to Terms

We may update these Terms at any time. We will provide 30 days' notice of material changes via email or in-app notification. Continued use after the effective date constitutes acceptance.
